Event: 5–15 October 2026 · Checked and explained: 17 October 2026.
HD Fire Protect’s October offer was structured entirely as an offer for sale. The official abridged prospectus specifies up to 26,284,500 shares from selling shareholders, with no fresh issue. Its scheduled bidding window was 13–15 October, so this 17 October explanation is not an invitation to apply during an open offer.
The reported price band was ₹258–271, with a 55-share lot. At ₹271, the full offered share count corresponds arithmetically to approximately ₹712.31 crore. The central distinction is the recipient: an OFS transfers ownership and proceeds to selling shareholders rather than adding the entire offer amount to the company’s operating cash.
Follow the recipient, not just the headline size
A company issuing new shares receives capital, subject to issue expenses and the disclosed use of proceeds. In an OFS, an existing holder sells shares. Both routes can introduce public investors, but they have different implications for the company’s balance sheet.
Neither structure automatically makes an investment attractive or unattractive. A fresh issue can fund useful growth or inefficient spending. An OFS can provide an exit or partial liquidity to existing holders without changing the operating business. Investors still need to assess the price paid for the future cash flows.
A hypothetical ₹100 public offer containing ₹30 of fresh shares and ₹70 of secondary sales does not give the company ₹100 of new capital. Only the fresh component enters that funding bridge before expenses. HD Fire’s disclosed all-OFS structure places this distinction in especially clear view.
Revenue growth and profit growth tell different stories
The prospectus reports revenue from operations of ₹372.953 crore in FY24, ₹432.799 crore in FY25 and ₹489.281 crore in FY26, after converting the source’s ₹ million units to crore. These are annual operating-revenue figures, not total income or an order-book balance.
HD Fire: annual revenue from operations
₹ crore
| Label | Value (₹ crore) |
|---|---|
| FY24 | 372.953 |
| FY25 | 432.799 |
| FY26 | 489.281 |
The same source reports FY26 PAT of ₹116.787 crore against ₹109.718 crore in FY25. Revenue and profit therefore do not move at the same percentage rate. Different growth rates prompt a margin and cost review; they do not by themselves establish the reason for the change.
An investor should keep the definitions attached to each number. Product revenue excluding other operating items can differ from total revenue from operations, while total income includes a different boundary again. Mixing these denominators can produce an inaccurate margin comparison.
Industrial demand needs a quality bridge
Fire-protection equipment serves projects where technical performance and reliability matter. For business analysis, the useful questions include customer qualification, product acceptance, order conversion, pricing and the cost of maintaining standards. A critical end use does not eliminate competition or execution risk.
The distinction between an order and recognised revenue matters here too. A manufacturer can receive an order, produce equipment, deliver it and collect payment on different dates. Each stage creates a different operational or financial exposure.
For illustration, a ₹10 crore order with a 20% gross margin would imply ₹2 crore of gross contribution under simplified assumptions. It would not imply ₹2 crore of net profit or immediately available cash. Payroll, overhead, finance costs, tax and collections still sit between those measures.
A good company can still be an expensive share
Suppose a fictional business earns ₹10 per share. A buyer paying ₹200 pays 20 times that earnings figure; a buyer paying ₹400 pays 40 times. The operating company can be unchanged while the required future growth to justify the purchase differs substantially.
The example is not a valuation of HD Fire. It explains why business quality and purchase valuation should be assessed separately. A long list of customers or certifications cannot answer whether the price already assumes an unusually favourable future.
For an actual valuation comparison, use the final share count, relevant earnings period and appropriate comparable businesses. Check whether profits include non-recurring items and whether the capital structure is comparable. A headline multiple without those labels can conceal more than it reveals.
What remains worth following after bidding
Use official allotment, listing and subsequent company disclosures to confirm what has actually happened. A scheduled date is not proof that a step completed. An unofficial grey-market indication is also not a guaranteed listing price or a cash flow of the company.
After listing, the more durable evidence will be operating results, margin consistency, working-capital conversion and capital allocation. Public-market liquidity may change the shareholder base, but it does not replace the company’s need to execute.
The useful lesson in this offer is simple and economically important: a public-issue headline describes a transaction. To understand the investment, identify who gets the money, what the business earns and what price the investor pays for that earning power.
Reader questions
Does the entire OFS amount become cash for HD Fire Protect?
No. An offer for sale transfers existing shares and sale proceeds to selling shareholders. It is different from a fresh issue raising capital for the company.
