Explained on 26 October 2026. This is an educational answer drawn from the dated article below; examples are hypothetical unless a specific source observation is identified.
How it works
A valuation describes the whole equity base, while an offering can cover only a portion. A fresh issue and a sale by existing shareholders also have different recipients of proceeds. Do not infer the complete structure from a large headline value or assume that total company value becomes operating cash.
A simple example
In a simplified hypothetical fresh issue, newly issued shares worth ₹100 are sold in a company valued at ₹2,000. The company does not receive ₹2,000 from that transaction. Issue costs and stated uses still need separate lines when analysing available cash.
What to check
- Read the actual issue structure.
- Separate gross and net proceeds.
- Identify who receives the cash and how it is to be used.
